Mutual Talent Release 

This Mutual Talent Release (this “Release”) is made as of the date set forth below between American Negotiation Institute, LLC (the “Host”) and the guest named below (the “Guest”) (the Host and the Guest are each a “Party” and collectively the “Parties”) in connection with each Party’s appearance and participation (the “Participation”) in the podcast program entitled Negotiate Anything (the “Program”). 

1) In connection with and in exchange for the Guest’s Participation in the Program (the “Guest Podcast”), the Guest grants to the Host, and Host grants to Guest, the irrevocable right in perpetuity throughout the universe the following permissions (collectively, the “Rights”): 

1. For Host to use, tape, film, photograph, record, and produce (collectively, to “Use”) and to grant others the right to Use, in any medium, the Guest’s name, voice, photograph, actual or simulated likeness and biographical information, and any reproduction or simulation thereof for whatever purposes solely in relation to the Podcast, the Program, or the Host’s activities related to the Podcast or the Program that the Host deems necessary. All other uses of the Guest’s name, voice, photograph, actual or simulated likeness and biographical information, require the Guest’s prior written approval. 
2. For either Party to broadcast, publish, publicize, promote, translate, dub, repackage, advertise and distribute (collectively, to “Distribute”) the Guest Podcast in whole or in part across all Platforms (as hereinafter defined) in any medium. “Platforms” shall include, but not be limited to (i) all promotional channels (including, but not limited to, audiograms, YouTube, Twitter, Facebook, Instagram, and LinkedIn), (ii) subscription-optional channels (including, but not limited to, Spotify, Pandora, Luminary, Calm, and Insight Timer), (iii) paid course channels (including, but not limited to, LinkedIn Learning, Knowable, Listenable, and Himalaya Learning), and (iv) other traditional, emerging, and not-yet-invented platforms (including, but not limited to, radio, television, film, games, apps, subscription video or audio on demand platforms, and virtual reality) while still identifying the material as coming from the Guest Podcast and the Program. 
3. Should the Guest exercise the rights set forth in sub-section b., above, Guest may use Host’s name, voice, photograph, actual or simulated likeness and biographical information, and any reproduction or simulation thereof or the Program title or trademarks for whatever purposes solely to identify the source of Podcast and the identity of the Host as host of the Program, the Program as the context in which the Program premiered that the Guest deems necessary. All other uses of the Host’s name, voice, photograph, actual or simulated likeness and biographical information or the Program’s name or trademarks, require the Host’s prior written approval. 

2) Each Party warrants that (a) their Participation in the Guest Podcast is original, (b) no third-party rights will be infringed upon in the event any Party chooses to Distribute the Guest Podcast, and (c) they have the full power to grant the Rights in this Release. Should a Party’s Participation in the Guest Podcast incorporate copyrighted materials of a third party (a “Third Party”), such Party warrants that they have obtained permission from such Third Party to Distribute the Guest Podcast, consistent with this Release. 

3) Each party releases one another for any claims related to the Use of Guest’s Participation in the Program. 

4) I will receive no monetary compensation for my appearance. The only consideration for this release shall be the exposure I get as a Podcast guest.

5) I am granting the Podcaster a non-exclusive, royalty-free, perpetual worldwide license to  publish any content, including the recording, that I supply as part of my appearance on the Podcast. I also grant the right for the Podcaster to use, exploit, distribute, and make derivative works of the recording and any materials made available to Podcaster in connection with the Podcast, e.g. show handout. I reserve the rights to any of my own materials merely mentioned on the Podcast, including any proprietary materials, trademarks, or trade names.

6) I waving any intellectual property claims including, but not limited to, trademark and copyright infringement claims associated with personal or business interests discussed during my appearance on the Podcast.

7) I am waiving any right to publicity and privacy claims, and agree that my name, likeness, and business information may be used by Podcaster in the episode in which I appear and future reproductions or derivative works, as well as the marketing materials supporting the Podcast in general. However, my name or likeness, may not be used as an endorsement of any product or service.

8) I release Podcaster and its agents from any liability arising out of my appearance on the Podcast or its production, editing, reproduction, and distribution in any medium.

9) I warrant that I have the right to bind myself to this type of agreement and that anything discussed on the Podcast is information that I have the right to discuss in a public forum.

10) I understand that there is no agency relationship between myself and Podcaster, and that I am not an owner of the Podcast or its content in any way.

11) If there is any dispute regarding this agreement, it will be settled under the law of Ohio.

The Parties hereby consent and agree to the terms and provisions of this Release as of the date the Negotiate Anything Podcast interview was booked.
